General terms and conditions

Legal relationship
1. These General Terms and Conditions apply to all orders and purchase-sales, both via the website www.presidentfabrics.com and managed by President Fabrics, BE0793.697.847 and with registered office at Quellinstraat 25b, 2018 Antwerp.
2. Only these terms and conditions and the order form/quotation govern the contractual relationship between President Fabrics and the Buyer (hereinafter 'Contract')
Contract
1. Placing an order implies an obligation to pay and by doing so the Buyer irrevocably and unreservedly confirms having read, understood and accepted the General Terms and Conditions.
2. The Contract comes into effect upon confirmation of the order by President Fabrics.
3. President Fabrics reserves the right to refuse an order in case of serious suspicion of abuse of law or bad faith, or exhaustion of stock of a particular product.
4. In the event of cancellation of the Contract before the scheduled delivery date, the cancelling party shall be liable to pay liquidated damages in the amount of 20% of the value of the Contract with a minimum of EUR 500.00 if this occurs more than two (2) weeks before the scheduled delivery date and in the amount of 100% if this occurs later.
Delivery
1. Products are only delivered to the countries for which www.presidentfabrics.com provides delivery. President Fabrics aims to deliver as quickly as possible. Erroneously communicated delivery addresses are the responsibility of the Buyer and may result in additional costs.
2. The stated delivery times are not binding, but are given purely as an indication. Delays in delivery and/or execution can never be grounds for a fine, compensation, dissolution of the agreement or refusal to accept the product.
Right of withdrawal (only in case of distance selling)
1. The Buyer has the right, in the case of a distance sale, to abandon the purchase, without penalty or stating a reason, for fourteen (14) calendar days from the day following the delivery of the product. You will find the legal model form below.
2. When exercising the right of withdrawal, the Buyer must return the product to President Fabrics within fourteen (14) calendar days in its original condition, unused*, undamaged, with all original labels and in original packaging, in accordance with the return provisions.
3. President Fabrics undertakes to refund, within thirty (30) days of receiving the product, the purchase price of the product (excluding shipping costs) paid by the Buyer to a bank account number determined by the Buyer.
Return
1. The risks associated with a return are integrally borne by the Buyer.
2. Any return must be packaged in accordance with the shipping guidelines (traceable and adequately protected, where the products cannot move freely) which will be provided to the Buyer by e-mail upon request.
3. All costs associated with a return will be borne by the Buyer, with the exception of a return due to damage to the products at the time of delivery or in case an incorrect product was delivered. The return costs will then be reimbursed by President Fabrics and the replacement product will be sent as soon as possible and free of charge.
4. Barring legal obligations, President Fabrics will not take back any products whose nature, characteristics or functioning is affected. This will be assessed by President Fabrics upon receipt of the return shipment.
Property-risk
1. President Fabrics remains the owner of the products sold until their full payment. In contrast, the risk in relation to the products passes at the time of sale.
2. Any transport or shipping shall be at the full cost and risk of the Buyer.
3. President Fabrics has a right of retention in respect of the products it holds against any person who demands delivery thereof and these products further serve as collateral in favour of President Fabrics for all claims against the Buyer.
No trade-in
1. Purchased products will not be exchanged or returned and may not be returned or exchanged without President Fabrics' written consent, except for any applicable right of withdrawal, as provided for in Article 4.
Price and payment
1. Prices include VAT but exclude other costs, such as transport. Such costs are stated separately when ordering, and displayed with the total price before ordering.
2. Only the prices at the time of the order will be applied, barring manifest error in the price indication. In the latter case, President Fabrics reserves the right to refuse the order and the Buyer has the option of accepting the new price or cancelling the order free of charge.
Billing conditions
1. Any invoice, the amount of which is not settled or not settled in full on the due date, shall be increased ipso jure by a fixed and irreducible indemnity equal to 10% of the amount due, with a minimum of € 150.00, without notice of default being required. In addition, interest on arrears shall be payable by operation of law.
2. In the event of dispute, the Buyer must protest President Fabrics' invoices by registered letter within thirty (30) calendar days of receipt thereof, on pain of forfeiture.
Force majeure
1. In the event of force majeure preventing President Fabrics from (further) fulfilment, President Fabrics' delivery and other obligations will be suspended. If the period of force majeure lasts longer than 8 (consecutive) weeks, both parties are authorised to dissolve the agreement, without any obligation to pay damages
Complaints, complaint period and legal guarantee
1. President Fabrics warrants that the products conform to the specifications, features and functions provided to the Buyer.
2. President Fabrics shall be liable for any non-conformity existing at the time of delivery that manifests itself within a period of two (2) years from delivery.
3. If the defect occurs after six (6) months from delivery, the Buyer must prove that the defect already existed at the time of delivery.
4. The Buyer shall, on pain of forfeiture, enable President Fabrics to carry out a proper examination, meaning that the product is brought in (except in case of damage) in a normal condition.
5. If, after examination, it is found that the product is defective, the Buyer prefers a repair and President Fabrics will, during the warranty period, repair or have repaired all defects at its expense.
6. To calculate the warranty period, it is important to prove the date of purchase or delivery. It is therefore best for the Buyer to keep the original invoice or copy thereof.
7. The Buyer must notify President Fabrics in writing of any lack of conformity within a period of two (2) months from its discovery, on pain of forfeiting the right to bring a claim for lack of conformity.
8. The legal claim shall in any case lapse one year from the day on which the Buyer discovered the lack of conformity, without that period being allowed to expire before the end of the warranty period.
Liability
1. Only if reparation in kind is not possible, the compensation to which President Fabrics may be liable, whatever the cause, nature or object of the claim, shall not exceed fifty (50) % of the invoice value of the product concerned, except in case of fraud, intentional fault or gross negligence. In the event that the Buyer believes it is entitled to such compensation, the Buyer must prove the defects and damages in an adversarial manner.
2. However, President Fabrics will not be held liable for defects or damage caused by normal wear and tear, intentional or unintentional changes inflicted on the product, non-careful use or use for purposes for which the product is not intended.
Final conditions
1. The invalidity of one or more provisions of these General Terms and Conditions does not affect the application of the other provisions.
2. Only Belgian law applies..
3. Subject to the applicable provisions of consumer law to the contrary, any dispute relating to the conclusion, performance, compliance, validity or any other dispute within the scope of the contract will be dealt with exclusively by the courts of Hasselt.
